Terms of Service (darwintIQ)

These Terms of Service ("Terms") govern your access to and use of the darwintIQ website, applications, and APIs (collectively, the "Service"). By creating an account, subscribing, or otherwise using the Service, you agree to these Terms.

If you do not agree, do not use the Service.

2. Eligibility

You must be at least 18 years old and capable of entering into a binding contract to use the Service. You are responsible for ensuring that your use of the Service complies with all laws and regulations applicable in your jurisdiction.

3. Analytics-Only Service (No Advice, No Signals)

darwintIQ provides quantitative market analytics, model statistics, and research software tools.

The Service does not provide:

  • investment advice or financial advice
  • trading recommendations
  • trading signals
  • instructions to buy, sell, hold, enter, or exit any position
  • portfolio management or trade execution

Any information, metrics, labels, charts, model events, or statistics displayed by the Service are provided for informational and research purposes only and must not be interpreted as a recommendation or invitation to trade.

You remain solely responsible for any trading decisions you make.

4. Risk Disclosure

Trading financial instruments, especially leveraged products such as foreign exchange (FX), CFDs, and derivatives, involves substantial risk and may result in the loss of all capital.

You acknowledge and agree that:

  • Past performance and model statistics are not indicative of future results.
  • Market conditions can change rapidly and unpredictably.
  • Data may be delayed, incomplete, or inaccurate.
  • Models may fail, degrade, or become invalid.
  • Software errors, outages, or latency may occur.
  • Any trading system, bot, EA, or integration you build using the Service is used entirely at your own risk.

darwintIQ does not monitor your trades and does not know your financial situation, objectives, or risk tolerance.

You are solely responsible for:

  • evaluating whether trading is appropriate for you
  • implementing adequate risk management
  • complying with laws and regulations in your jurisdiction

If you do not fully understand or accept these risks, you must not use the Service for trading decisions.

5. Accounts and Security

You are responsible for maintaining the confidentiality of your login credentials and API tokens and for all activity under your account.

You must notify us immediately of any unauthorized use.

6. Acceptable Use

You agree not to:

  • misuse, interfere with, or disrupt the Service
  • attempt unauthorized access or bypass security measures
  • scrape or systematically extract data beyond normal use
  • redistribute or resell Service data without permission
  • represent darwintIQ outputs as investment advice or trading signals
  • use the Service for unlawful trading or market manipulation

We may suspend or terminate access if you violate these Terms.

7. Subscriptions and Billing

Some features require a paid subscription.

Payments are processed by third-party providers (e.g., Stripe). By subscribing, you authorize recurring billing according to your plan until cancelled.

You may cancel at any time. Unless required by law, fees are non-refundable and service continues until the end of the billing period.

We may change pricing or plans with prospective effect.

8. API and Developer Use

If you access darwintIQ via API, tokens, or developer features:

You are granted a limited, non-exclusive, non-transferable right to use the API for your own internal use.

You must not:

  • resell or redistribute API data
  • provide public signal services based on the API
  • operate copy-trading or trade-recommendation services
  • expose API outputs to third parties as a standalone product

You are solely responsible for any software, bots, EAs, or integrations you build using the Service.

We may enforce rate limits and suspend abusive use.

9. Intellectual Property

The Service, software, content, documentation, and branding are owned by darwintIQ or its licensors and protected by intellectual property laws.

You may not copy, modify, reverse engineer, or create derivative works except as permitted by law.

10. Third-Party Services

The Service may rely on third-party providers (e.g., hosting, analytics, payment). We are not responsible for third-party services.

11. Disclaimer of Warranties

The Service is provided "as is" and "as available."

To the maximum extent permitted by law, we disclaim all warranties, including:

  • accuracy or completeness
  • fitness for a particular purpose
  • uninterrupted or error-free operation

We do not guarantee model validity, data accuracy, or performance outcomes.

12. Limitation of Liability

To the maximum extent permitted by law:

  • We are not liable for trading losses or financial losses.
  • We are not liable for indirect or consequential damages.
  • Our total liability is limited to the amount you paid for the Service in the 12 months preceding the claim, or EUR 100, whichever is greater.

Nothing in these Terms limits liability where prohibited by law (e.g., intent or gross negligence).

13. Termination

You may stop using the Service at any time.

We may suspend or terminate access if you breach these Terms or if required for legal or operational reasons.

14. Changes to Terms

We may update these Terms from time to time. Updated Terms will be posted on this page with a revised date.

Continued use of the Service constitutes acceptance.

15. Governing Law

These Terms are governed by the laws of Germany.

Jurisdiction is Munich, Germany, to the extent permitted by law.
